Chennai, Feb 10 (.) CA Sardo Investments, an affiliate of The Carlyle Group, and Salisbury Investments Private Limited, an investment vehicle of Aditya Puri and his family, will acquire 75 per cent stake in Nido Home Finance Ltd — a wholly owned subsidiary of Edelweiss Financial Services Ltd.
In a regulatory filing today, Edelweiss said the buyers will be acquiring a 45 pc stake in Nido Home from Edelweiss Financial and its wholly owned subsidiaries Edelweiss Rural & Corporate Services Limited (ERCSL), Edel Finance Company Limited (EFCL).
The buyers will also be subscribing to equity shares and warrants of Nido Home. Upon completion of sale and allotment of equity shares and warrants by Nido Home as contemplated in the transaction, the two buyers will hold approximately 73 pc of the shareholding of Nido Home on a fully diluted basis.
Edelweiss Financial and EFCL will sell 100 shares each of Nido Home for Rs.19,300 each and ERCSL will sell 3,12,07,300 shares for Rs. 6,02,30,08,900.
“Pursuant to the Agreements and subject to applicable laws, the Sellers (Edelweiss) may also receive an additional payment based upon returns realized by CA Sardo Investments from its investment in Nido,” Edelweiss Financial said.
CA Sardo Investments will subscribe for 25,721,891 equity shares and 51,443,782 warrants while Salisbury Investments will subscribe for 1,84,845 equity shares and 3,69,690 warrants.
